Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of Circa Chat ("Circa," "we," "us," or "our"), including our website, apps, and related services (together, the "Service"). By creating an account, checking the box to agree, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account or use Circa. By using the Service, you represent that you meet this requirement and that all information you provide is accurate.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Community Standards & Conduct

Circa connects Members with Voices (creators) through posts, messages, calls, and virtual gifts. All users are expected to follow our Rules & Guidelines and to treat others with respect. In addition to our Rules & Guidelines, you agree not to:

• Attempt to hack, exploit, reverse-engineer, or otherwise interfere with the Service, or make use of bugs, glitches, or unintended behavior to gain an unfair advantage ("gaming the system").
• Engage in scamming, fraud, or any attempt to deceive another user out of money, Circles, or personal information.
• Circumvent or attempt to circumvent any payment, age-verification, or moderation system on Circa.

We reserve the right to warn, restrict, or suspend any account that violates these Terms or our Rules & Guidelines, at our sole discretion.

4. Payments & Circles

Circa uses a virtual currency ("Circles") to facilitate purchases of subscriptions, messages, calls, and gifts. Circles have no cash value outside the Service and are non-transferable between accounts. Shop purchases are billed separately, directly through Stripe in real currency, not Circles.

All purchases made through Circa (including, but not limited to Circles, subscriptions, individual messages, calls, virtual gifts, and shop items) are final and non-refundable once purchased or spent, for any reason, except where required by law. This applies regardless of whether you are satisfied with the interaction, content, or response you received.

5. Shop Purchases, Physical Goods & Fulfillment

Circa operates the Shop as a marketplace facilitator only. When you purchase an item from a Voice's Shop or Storefront, your contract for that item is with the Voice who listed it, not with Circa. The Voice is the seller of record and is solely responsible for the item itself, including its description, accuracy, condition, legality, packaging, shipping, delivery timeframe, tracking information, returns, exchanges, and any applicable taxes or customs charges.

Circa does not manufacture, stock, inspect, handle, package, ship, or deliver any physical item sold through the Service, and never takes possession of it at any point. We do not guarantee that any item will be shipped, that it will arrive, that it will arrive within any particular timeframe, or that it will match the Voice's description. Any shipping estimate, tracking number, or delivery status shown in the Service is information supplied by the Voice, which Circa passes along without independently verifying it.

To the fullest extent permitted by law, Circa is not liable for a Voice's failure to fulfill an order, for late, damaged, lost, or undelivered items, or for any dispute between you and a Voice concerning a physical or digital good. All purchases remain final and non-refundable as described in Section 4.

If a Voice does not fulfill an order, you should first contact the Voice directly through the Service. If that does not resolve it, you may report the issue to us through the Bug Report tab in your Settings. While Circa has no obligation to refund, reimburse, or otherwise make good on any unfulfilled order, we may (at our sole discretion) investigate, issue warnings or strikes, remove Shop listings, suspend a Voice's Shop access, or suspend or terminate the account of a Voice who repeatedly fails to fulfill orders.

By listing an item for sale on Circa, a Voice represents and warrants that they have the legal right to sell it, that it complies with all applicable laws, and that they will fulfill every order they accept. A Voice agrees to indemnify and hold Circa harmless from any claim, loss, or expense arising from an item they listed or failed to fulfill.

6. Content Ownership & License

You retain ownership of the content you post. By posting content to Circa, you grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate the Service.

7. Content Confidentiality

Content you access through Circa (including a Voice's posts, paid/unlocked content, profile content, and private messages exchanged with any other user) is for your own personal use on the Service only. You agree not to copy, screenshot, save, redistribute, repost, or otherwise share that content anywhere else, including on other websites, apps, or social media, without the express permission of the person it belongs to. This applies to private conversations as much as it does to paid content. What happens in a private message on Circa, stays on Circa.

8. Prohibited Content & Conduct

You may not use Circa to post or share content that is illegal, involves minors in any way, is non-consensual, infringes on another's rights, or otherwise violates our Rules & Guidelines. We may remove content and suspend accounts that violate this section without notice.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms or our Rules & Guidelines. You may stop using the Service and delete your account at any time via Settings.

10. Content Authenticity

Some Voices and creators on Circa may choose to use artificial intelligence tools to partially or fully produce content shared through the Service, including but not limited to posts, captions, photos, videos, messages, profile information, and profile pictures. Circa does not independently verify whether any given piece of content was created with the assistance of AI, and makes no representation as to the authenticity, origin, or human involvement in any content posted by a Voice or other user.

By using the Service, you acknowledge and agree that Circa is not liable for any disappointment, dissatisfaction, or other negative feelings or outcomes arising from content that was partially or fully AI-generated or AI-assisted, and that no refunds will be issued on that basis. This applies equally to any other dissatisfaction you may experience while using the Service. All purchases of Circles, subscriptions, tips, gifts, and shop items are final and non-refundable except where required by law. By checking the agreement box during signup and continuing to use Circa, you accept and agree to use the Service under these terms.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that any creator's content is accurate or genuine.

12. Limitation of Liability

To the fullest extent permitted by law, Circa and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to dissatisfaction with content, interactions, or purchases made through the Service.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
